In the event of an interpretative discrepancy, the Spanish version shall prevail for relationships governed by Guatemalan law, except where a specific valid agreement provides otherwise.

No provision is intended to exclude non-waivable rights or limit liability where the law does not permit such limitation.

1. Purpose and acceptance

These Terms govern access to, browsing and use of the corporate website adioncsolutions.com and its public pages, content, resources and features operated under the trade name ADIONC INTEGRATED SOLUTIONS.

Accessing or browsing the website implies that the visitor is aware of these Terms and undertakes to use it lawfully. Where an interaction involves entering into a contract, a user account, membership, licence, subscription, operational service or specific product, additional specific terms may apply. In the event of a conflict, the specific instrument shall prevail in relation to the specific service, without prejudice to applicable mandatory rules.

Browsing alone does not, in itself, constitute the conclusion of a services contract, acceptance of a quotation or creation of an agency, partnership, representation, employment or exclusivity relationship.

2. Informational nature of the website

The website serves a general institutional, informational and B2B/B2C commercial purpose. It presents the company, capabilities, solutions, industries, products and contact channels.

Unless a contractual document expressly states otherwise, information on the website does not constitute legal, financial, medical, insurance, banking, accounting, tax or specialised professional advice; nor does it constitute a promise of uninterrupted availability, a guarantee of results, an obligation to enter into a contract or automatic acceptance of a request.

3. Definitions

For these Terms: “ADIONC” means the trade name ADIONC INTEGRATED SOLUTIONS and, depending on the context, its owner and authorised personnel; “Website” means adioncsolutions.com and its expressly identified corporate subdomains; “User” or “Visitor” means any person accessing the Website; “Product” includes platforms, applications, software, APIs, ecosystems and other solutions identified as developed or offered by ADIONC; “Third Party” includes providers, platforms, integrators, financial institutions, insurers, cloud, mapping or communications services, or any entity other than ADIONC.

4. Capacity and use of the website

The visitor declares that they will use the Website in accordance with the law and, if acting on behalf of an organisation, that they have the necessary authority to make enquiries or communications on that organisation's behalf.

The corporate Website may be viewed by the general public. Certain future products may impose separate requirements concerning age, eligibility, territory, verification, contracting or authorisation.

5. Limited access licence

ADIONC grants the visitor a personal, limited, revocable, non-exclusive and non-transferable licence to view and use the Website solely for lawful informational purposes, commercial evaluation and contact with ADIONC.

This licence does not transfer ownership or authorise commercial exploitation, resale, sublicensing, mass reproduction, automated extraction of content databases, decompilation, reverse engineering of protected components or creation of derivative works, except with written authorisation or under a non-derogable legal right.

6. Prohibited uses

  • Using the Website for unlawful, fraudulent, misleading or defamatory activities, or activities that infringe third-party rights.
  • Attempting to access servers, accounts, directories, files, endpoints, panels, databases or infrastructure not intended for public access.
  • Conducting scans, exploiting vulnerabilities, carrying out brute-force or denial-of-service attacks, abusive scraping or automated activities that degrade the service.
  • Introducing malware, malicious scripts, content designed to compromise security or mechanisms intended to circumvent technical controls.
  • Impersonating ADIONC, its products, company personnel or a third party, or creating the appearance of non-existent sponsorship, affiliation or authorisation.
  • Copying, removing or concealing intellectual property notices, trademarks, authorship metadata or security mechanisms.
  • Using information from the Website to send unsolicited mass communications, collect personal data without authorisation or build unlawful profiles.

7. Security and infrastructure protection

ADIONC may apply technical controls, rate limits, temporary or permanent address blocking, filtering, security monitoring and other reasonable measures to protect the Website, its users and its infrastructure.

Discovering a vulnerability does not authorise its exploitation. Anyone identifying a possible flaw must avoid accessing information belonging to others or altering systems and may report it in good faith to the corporate contact. ADIONC may establish a specific responsible disclosure channel in the future.

8. Intellectual and industrial property and distinctive signs

Unless expressly stated otherwise, the original texts, structure, interfaces, designs, diagrams, graphics, documentation, software, code, knowledge bases, commercial materials and other proprietary content on the Website belong to ADIONC or are used with authorisation.

The names ADIONC INTEGRATED SOLUTIONS, Unidad de Autopistas, UA Control and UA Operación, their logos, distinctive signs and other identifiers may not be used to suggest non-existent representation, association, sponsorship, certification or authorisation.

Third-party trademarks, names and logos belong to their respective owners. Any reference to them is for identification, interoperability or descriptive purposes and does not imply affiliation unless expressly stated.

9. Unidad de Autopistas and other products

Unidad de Autopistas is presented as a product or ecosystem developed by ADIONC. UA Control, UA Operación, the Web Platform, CCO/Call Center and other components may have their own terms, policies, contracts, service levels and specific conditions.

Public information on the Website describes general capabilities and must not be interpreted as disclosure of sensitive architecture, credentials, algorithms, private infrastructure, trade secrets, customer data, confidential contracts or specifications that ADIONC has not decided to publish.

10. Regulated sectors and absence of regulated status representations

ADIONC's commercial purpose allows it to develop and integrate solutions for various sectors, including insurers, banks, financial institutions, cooperatives, fleets, roadside assistance and others. Mere reference to those sectors does not mean that ADIONC is an insurer, reinsurer, bank, financial institution, medical provider, certification body, telecommunications operator, issuer of payment instruments or other regulated entity, unless it holds the corresponding legal authorisation and expressly states so.

Where a solution requires activities reserved for regulated entities or authorised professionals, ADIONC shall act only within the legal scope applicable to it or through providers, partners or professionals required to hold the respective authorisations.

11. Commercial information and absence of an automatic offer

Descriptions, examples, diagrams, indicative prices, capabilities, industries and application scenarios published on the Website do not necessarily constitute an irrevocable offer. A commercial relationship may require validation of scope, availability, territory, technical requirements, risk assessment, a contract, service order, accepted proposal, payment or other conditions.

ADIONC may reject a commercial request where there are technical, regulatory, capacity, security, compliance or coverage limitations, or any other legitimate reason, without prejudice to obligations previously undertaken.

12. Quotations, proposals and communications

Sending an email, message or contact request does not, in itself, create a contract. Quotations and proposals may be subject to a validity period, scope, assumptions, exclusions, taxes, third-party dependencies and additional conditions.

Only acceptance in accordance with the mechanism specified in the applicable proposal or contract shall bind the parties. Preliminary discussions do not amend an existing contract unless there is a valid written or electronic agreement issued by authorised persons.

13. Technical information and product changes

Technology evolves. ADIONC may modify, replace, improve or withdraw features published as general information, provided that this does not breach existing contractual obligations.

Screenshots, diagrams, mockups, workflows and descriptions may be illustrative. The contracted version of a product shall be determined by the corresponding specific documentation.

14. Third-party integrations and services

Some solutions may interoperate with third-party services, APIs, mapping platforms, infrastructure, messaging, payments, artificial intelligence, insurers or other providers. The availability of an integration may depend on the third party's authorisations, credentials, terms, coverage, prices, technical changes and continuity.

ADIONC does not control external systems. Where a failure is attributable exclusively to a third party, liability shall be determined in accordance with the applicable contract and the law, without this provision eliminating non-waivable consumer rights.

15. External links

Links to external websites are provided for reference or convenience. ADIONC does not control or necessarily endorse their content, policies, security or availability. Visitors must review the third party's terms and policies before using its services.

16. User-provided content

If the Website enables forms, file uploads or interactive areas in the future, users shall be responsible for holding the necessary rights and authorisations over the information they submit and for not sending unlawful or malicious content or content that infringes third-party rights.

Personal information shall be processed in accordance with the Privacy Policy and the specific policies of the corresponding product.

17. Ideas, comments and feedback

Non-confidential comments or suggestions voluntarily sent to ADIONC may be considered for improving products and services. Unless otherwise agreed in writing, sending a general idea does not create an obligation to provide remuneration or exclusivity or result in the sender acquiring rights.

This provision does not authorise ADIONC to appropriate third-party protected works or trade secrets, nor does it eliminate obligations that may arise from a valid confidentiality agreement.

18. Confidential information and trade secrets

Public corporate email must not be used to send trade secrets, credentials, keys, highly sensitive financial information, medical records or third-party information that the sender is not authorised to disclose, unless a channel or agreement has been established beforehand.

Unsolicited receipt of information marked confidential does not automatically create a contractual confidentiality obligation beyond applicable legal obligations. Where commercial confidentiality is required, the parties must formalise it in writing or through a valid electronic agreement.

19. Information concerning emergencies, health and roadside assistance

The corporate Website is not an emergency channel and does not guarantee immediate attention. Sending an email or message from the corporate website is not equivalent to requesting an operational service, tow-truck dispatch, ambulance, rescue or prehospital care.

General information on mobility, roadside assistance, ambulances or prehospital care does not replace instructions from authorities, medical professionals or emergency services. Operational products that may allow users to request assistance in the future shall have their own terms and channels.

20. Electronic communications

Users agree that communications relating to an enquiry or commercial relationship may take place electronically where they have provided those channels. Electronic contracts and other communications shall be subject to applicable legislation, including the Law for the Recognition of Electronic Communications and Signatures (Ley para el Reconocimiento de las Comunicaciones y Firmas Electrónicas), Decree 47-2008.

ADIONC may retain technical and commercial records of communications where reasonably necessary for security, support, compliance, evidence of a relationship or the exercise of rights.

21. Availability, maintenance and continuity

ADIONC endeavours to keep the Website available but does not guarantee uninterrupted availability or the complete absence of errors. Interruptions may occur due to maintenance, updates, infrastructure incidents, external providers, connectivity, cyberattacks, force majeure events or circumstances beyond reasonable control.

Where a service level agreement applies to a contracted product, its metrics and remedies shall be governed by that agreement and not by these general Website Terms.

22. Exclusion of warranties to the extent permitted by law

The Website and its informational content are provided in their existing condition and subject to availability. ADIONC does not warrant that all general information is suitable for a visitor's particular purpose or that a described solution is compatible with every infrastructure or jurisdiction.

No exclusion in these Terms affects warranties, rights or liabilities that cannot legally be excluded, particularly in consumer relationships.

23. Limitation of liability

To the maximum extent permitted by law and in relation to the free, informational use of the Website, ADIONC shall not be liable for indirect damage, loss of opportunities, lost profits, business interruptions, loss of data or decisions made solely on the basis of general information on the Website, where such damage does not arise from a legal or contractual obligation attributable to ADIONC.

Nothing above limits liability for intentional misconduct, gross negligence where applicable, personal injury, damage for which compensation is legally required, breach of express obligations validly undertaken or non-waivable consumer rights.

Liability for contracted products and services shall be governed by their specific terms and applicable legislation.

24. User responsibility and indemnity for unlawful use

Users are responsible for damage they cause through unlawful, fraudulent or unauthorised use of the Website. To the extent permitted by law, anyone using the Website to infringe third-party rights, compromise systems, introduce malware or commit unlawful acts shall be liable for the consequences directly attributable to their conduct.

This provision does not make consumers responsible for service deficiencies, omissions or errors that are not attributable to them.

25. Force majeure and events beyond reasonable control

Neither party shall be liable for delays or inability to perform resulting from events beyond its reasonable control where the law recognises such effects, including natural disasters, widespread telecommunications or power failures, acts of public authorities, conflicts, blockades, serious third-party incidents or equivalent events. This provision does not eliminate legally enforceable duties to mitigate, provide information or make restitution.

26. Consumer and user rights

Where a visitor or customer qualifies as a consumer or user under Guatemalan legislation, these Terms shall be interpreted consistently with Decree 6-2003, the Consumer and User Protection Law (Ley de Protección al Consumidor y Usuario), and other mandatory rules.

No provision shall be interpreted as a waiver of legally non-waivable rights or as authorisation to charge for services not provided, unilaterally amend contracts contrary to law, impose undisclosed surcharges or eliminate the right to compensation where applicable.

27. Complaints Book and handling of complaints

ADIONC shall address enquiries and complaints through its corporate channels and maintain the Complaints Book (Libro de Quejas) or a medium authorised by the Consumer Attention and Assistance Directorate (Dirección de Atención y Asistencia al Consumidor) where required under Article 17 of Decree 6-2003.

Submitting an internal complaint does not limit a consumer's right to approach DIACO, administrative authorities, conciliation mechanisms or competent courts.

28. Data protection and cookies

The processing of personal data associated with the Website is described in ADIONC's Privacy Policy. The use of cookies and similar technologies is detailed in the Cookies Policy.

Products involving accounts, geolocation, payments, evidence, operational services or specialised data shall have additional policies where appropriate.

29. Amendments to the Terms

ADIONC may update these Terms due to regulatory, technical, commercial, security or Website operational changes. The published version shall indicate its date and version number.

Changes to these Website Terms shall not retroactively amend existing contracts unless there is a valid agreement or legal authorisation. Where a material change affects a contractual service, the rules of the specific instrument shall apply.

30. Suspension or restriction of access

ADIONC may restrict access to the Website where there is abuse, a security risk, a breach of these Terms, a legal requirement or a technical need. Where a person holds contractual rights in a product other than the corporate Website, any suspension of that product must be governed by its specific contract.

31. Severability, no waiver and contractual precedence

If a provision is void, unlawful or unenforceable, it shall be interpreted or limited to the extent necessary to preserve its lawful purpose, without affecting the remaining provisions.

Failure to exercise a right does not constitute a waiver. A contract, accepted proposal, service order or specific licence shall prevail over these Terms in relation to the subject matter governed by that instrument.

32. Assignment

Users may not transfer obligations arising from a specific contract without complying with the rules of the applicable contract. ADIONC may reorganise, assign or transfer commercial relationships in cases permitted by law, safeguarding the rights of consumers and counterparties.

33. Applicable law, jurisdiction and language

These Terms are governed by the laws of the Republic of Guatemala. Disputes shall be submitted to the competent authorities and courts in accordance with the law, without prejudice to administrative consumer protection mechanisms and any mandatory forum that applies.

The Spanish version shall be the legal reference version for Guatemala. Translations into other languages are provided to facilitate understanding. In a specific international relationship, another law, jurisdiction or language may be agreed through a valid contract where legally permitted.

35. Version control
