In the event of an interpretative discrepancy, the Spanish version shall prevail for relationships governed by Guatemalan law, except where a specific valid agreement provides otherwise.
For relationships governed by Guatemalan law, the Spanish version serves as the reference, unless otherwise validly agreed.
No clause is intended to exclude non-waivable rights or limit liability where the law does not permit such a limitation.

1. Purpose
These conditions govern recurring Memberships and individual services paid for through UA Control or associated channels. They supplement the Terms of Service.
2. Pre-purchase information
Before a purchase is confirmed, the following will be displayed as applicable: plan or service name, price, currency, taxes, billing frequency, benefits, limits, coverage, relevant exclusions, renewal, cancellation and payment method.
3. Plans and benefits
Only the benefits expressly displayed in the plan description applicable at the time of purchase form part of the Membership. Coverage, events, distances, co-payments, exclusions and other actual limits must be defined before launch.
4. Price and currency
The applicable price will be the price displayed and accepted before the charge. Taxes and mandatory charges will be disclosed as required by law.
5. Automatic renewal
For recurring Memberships, the billing frequency and renewal until cancellation will be disclosed. Charges will be made to the authorized payment method, subject to availability and the processor’s rules.
6. Authorization to charge
By confirming a purchase, Users authorize a charge for the amount displayed. For renewals, Users authorize future charges until valid cancellation.
7. Payment processor
ADIONC will use an authorized payment gateway or processor. The identity of the final provider and relevant conditions will be communicated where applicable.
The planned architecture aims to use tokenization and avoid storage of complete card details by ADIONC.
8. Physical services and app stores
UA Control is intended to facilitate physical services consumed outside the application. Current Google Play and Apple policies distinguish these purchases from digital content and permit payment methods other than their in-app purchasing systems.
If premium digital features or digital content are sold in the future, ADIONC must reassess the stores’ billing rules.
9. Individual services
For services without a Membership, the available price or pricing method will be disclosed before final acceptance, unless operational variables must first be confirmed before a quotation can be provided.
10. Preauthorizations and adjustments
Any preauthorization or adjustment based on distance, unit type or another variable must be explained before payment is confirmed. Open-ended or unspecified charges will not be implemented without sufficient information.
11. Failed payments
If a payment fails, ADIONC may notify the User, retry in accordance with the processor’s rules, and suspend renewal or future benefits if payment is not completed.
12. Membership cancellation
Users may cancel future renewals through an accessible mechanism. Cancellation must not be designed to obstruct Users.
Unless a statutory right or different condition applies, benefits already paid for continue until the end of the current period.
13. Right of withdrawal
Where a transaction falls within the circumstances provided for in Article 51 of Decree 6-2003, the right of withdrawal will be respected within the statutory period of up to five business days, subject to the conditions of the law, including non-use of the goods or services.
14. Refunds
ADIONC will assess refunds for duplicate charges, incorrect charges, services not provided for reasons attributable to the provider, applicable withdrawal rights or other circumstances required by law.
Cancellation after benefits have been used or a service received does not automatically entitle the User to a refund, unless the law or the specific offer provides otherwise.
15. Service cancellation
The consequences will depend on the operational status. Different costs may arise if a unit has already been dispatched. Any cancellation charge must have been disclosed in advance and must be reasonable.
16. Chargebacks
Users must report unrecognized charges. ADIONC may investigate and cooperate with the processor. Fraud or chargeback abuse may result in suspension without prejudice to legitimate disputes.
17. Promotions
Discounts, promotions and codes may have specific validity periods, eligibility requirements and limits and do not create a right to continuation after they end.
18. Price changes
A recurring price change will be disclosed before it affects a future renewal. Where additional consent is required, it must be obtained before the new charge.
19. Taxes and invoicing
Tax documents will be issued in accordance with Guatemalan law and the information provided by the User.
20. Card data
ADIONC does not intend to store CVV codes or full card numbers. Processor tokens and references will be used for payment, reconciliation, support and security.
21. Fraud and security
ADIONC and the processor may reject or review transactions where there are indications of fraud, inconsistencies, risk, sanctions or legal requirements.
22. Amendments
Material changes to prices, renewal, cancellation or refunds will not apply retroactively to periods already paid for in a manner contrary to law.

24. Commercial conditions before launch
The definitive version is subject to approval of plan names, prices, billing frequency, benefits, exclusions, geographic coverage, limits, any cancellation charges, the final payment provider and the refund process.
