In the event of an interpretative discrepancy, the Spanish version shall prevail for relationships governed by Guatemalan law, except where a specific valid agreement provides otherwise.
For relationships governed by Guatemalan law, the Spanish version serves as the reference, unless otherwise validly agreed.
No clause is intended to exclude non-waivable rights or limit liability where the law does not permit such a limitation.

1. Purpose and scope
These Terms govern access to and use of UA Control, an application within the Unidad de Autopistas ecosystem developed by ADIONC. UA Control may allow Users to create an account, register vehicles, view location and road information, request or coordinate physical services, report incidents, receive status updates and use mobility and assistance features.
Not all features, coverage areas, plans, providers or services will necessarily be available at all times or in every territory. The specific conditions displayed before a purchase or service request form part of the applicable relationship.
2. Definitions
“ADIONC” means ADIONC INTEGRATED SOLUTIONS; “UA Control” means the application intended for end users; “Unidad de Autopistas” means the technology ecosystem developed by ADIONC; “User” means a person who uses or creates an account; “Operational Provider” means an authorized third party that physically performs a service, where applicable; “Service” means the assistance or service described in the app; and “Membership” means a recurring plan whose conditions are displayed before purchase.
3. Age and legal capacity
UA Control is intended for persons over eighteen years of age who have legal capacity to enter into contracts. Anyone acting on behalf of an organization represents that they have sufficient authority to do so.
4. Account and security
Users must provide reasonably accurate information, keep it up to date and protect credentials, verification codes and devices. Users must not allow fraudulent or unauthorized use.
ADIONC may use one-time passwords (OTP), reauthentication, temporary restrictions and other controls when necessary to protect the User, third parties or the platform.
5. Profile, vehicles and insurance policies
Users are responsible for the identity, vehicle, license plate, vehicle characteristics, insurance policy and coverage information they register and for having authority to provide it. The presence of insurance information does not mean that ADIONC has verified coverage or validity unless expressly stated.
Formal integrations with insurers or other entities will be subject to additional conditions and notices when such integrations exist.
6. Location and geolocation
UA Control may use location for maps, road information, assistance, coordination and geographic features. Users control operating system permissions.
Where feasible, the app may allow Users to confirm or manually enter a location. GPS, maps, mobile networks and external providers may produce varying results.
7. Assistance requests
Requests will be processed according to availability, coverage and the conditions displayed for the service. Submitting a request does not mean that a resource has been assigned until the app or applicable channel confirms the assignment.
Users must describe the event reasonably truthfully and disclose circumstances relevant to safety, access and the type of service unit required.
8. Physical services and providers
Physical services may be performed by ADIONC or by contracted, affiliated or integrated operational providers, depending on the model made available. Third parties must meet the legal and technical requirements applicable to them.
This clause does not remove ADIONC’s responsibility for its own obligations or waive any mandatory consumer rights.
9. No substitute for public emergency services
UA Control must not be used as the sole means of assistance in situations requiring an immediate response from police, firefighters, public medical services or another authority. In the event of serious or imminent danger, Users must also contact the appropriate public emergency services.
10. Photographs and evidence
Users must limit photographs and files to information related to the event and avoid unnecessary third-party data. Users must not upload unlawful, fraudulent, misleading or offensive content.
ADIONC may process evidence for coordination, traceability, claims, fraud prevention and the protection of rights in accordance with the Privacy Policy.
11. Incident reports
Reports of accidents, delays, closures, construction or other incidents may depend on information from users, operators or external sources. Unless expressly stated otherwise, they do not constitute an official communication from an authority.
12. Maps, routes and navigation
Mapping features may rely on third parties. Routes are assistance tools; Users must obey road signs, authorities and traffic conditions. ADIONC does not guarantee that a route is free from closures, restrictions or mapping errors.
13. Memberships and benefits
Before a Membership is purchased, the plan name, price, billing frequency, benefits, exclusions, coverage, limits, renewal terms and cancellation procedure must be displayed. Only conditions expressly communicated to the User form part of the plan.
14. Services without a Membership
UA Control may offer individual services. Before a paid service is confirmed, the available price or pricing method, scope and relevant conditions will be disclosed. Where the price depends on operational variables, the applicable criteria will be explained before final acceptance whenever possible.
15. Payments
Payments may be processed by a specialist provider designated by ADIONC. The app must display the amount and relevant conditions before a charge is confirmed.
The architecture must minimize storage of card data and be validated with the final payment provider.
16. Invoicing and tax documents
ADIONC will issue legally required tax documents under the applicable tax regime and using the information provided by the User, through authorized electronic mechanisms where applicable.
17. Renewal and cancellation
Recurring Memberships will renew in accordance with the accepted conditions. Users must have a reasonable means of cancelling future renewals.
Unless specific conditions or a different legal right apply, cancellation prevents the next charge and benefits already paid for continue until the end of the current period.
18. Right of withdrawal, cancellations and refunds
Where the right of withdrawal under Decree 6-2003 applies to contracts entered into away from business premises, the statutory period and conditions will be respected. The law provides for up to five business days in the circumstances it regulates, provided that the goods or services have not been used.
Other refunds and cancellations are governed by the Memberships, Payments, Cancellations and Refunds Conditions and mandatory consumer rights.
19. Availability and timing
Displayed times may be estimates subject to location, traffic, weather, unit availability, access, safety and provider capacity. Unless a specific service level agreement (SLA) applies, an estimate is not an absolute guarantee.
20. User conduct
Users must facilitate safe access where possible, follow reasonable instructions, refrain from violence, fraud or unlawful use, and avoid endangering operators or third parties.
21. Prohibited use
- Creating false accounts or impersonating others.
- Requesting fictitious or fraudulent services.
- Manipulating location, evidence or status information to obtain improper benefits.
- Attempting to compromise, abusively automate or interfere with the app, APIs or infrastructure.
- Reselling access, credentials or services without authorization.
- Harassing, threatening or harming operators or third parties.
22. Suspension and termination
ADIONC may suspend features or an account for security, fraud, breach, legal requirements, a valid outstanding payment or operational risk. Where reasonable and without compromising security or an investigation, the User will be informed.
23. Account deletion
Users may initiate deletion through the app or the dedicated web resource. Associated data that need not be lawfully retained will be deleted or de-identified. The Account and Data Deletion Policy sets out the details.
24. Intellectual property
UA Control, Unidad de Autopistas, interfaces, software, documentation, designs, trademarks and logos belong to ADIONC or are used under license. Users receive a personal, limited, revocable and non-transferable right to use the app in accordance with these Terms.
25. Third parties and integrations
UA Control may integrate third-party maps, messaging, notifications, payments, identity, infrastructure or other services. These third parties may have their own terms and policies, and ADIONC does not control their independent changes or interruptions.
26. Privacy and permissions
Data processing is governed by the UA Control Privacy Policy. Location, camera, photograph, notification and other permissions will be requested according to the feature that requires them.
27. Electronic communications
Users agree to receive communications necessary for their account, security, requests, support, payments and contractual obligations. Promotional communications must be distinguished from these and respect applicable preferences.
Electronic acceptance may be recorded with the version, date and time, language, document hash and reasonable technical evidence.
28. Updates
ADIONC may publish updates for security, compatibility, error correction or new features. Older versions may cease to be supported when reasonably necessary.
29. Warranties and liability
ADIONC does not guarantee complete freedom from interruptions, third-party errors or GPS variations. To the fullest extent permitted by law, it will not be liable for indirect losses attributable exclusively to general information, external failures beyond its reasonable control or use contrary to these Terms.
Nothing excludes liability that cannot lawfully be excluded, mandatory consumer rights, express obligations, intentional misconduct or other circumstances specified by law.
30. Force majeure
Obligations affected by events beyond reasonable control may be adjusted in accordance with the law, including disasters, blockades, acts of authorities, widespread telecommunications failures or equivalent events, without removing statutory duties to provide information or restitution where applicable.
31. Complaints and Complaints Book
ADIONC will provide support and complaint channels and maintain the Complaints Book or another method authorized by DIACO where applicable. The internal channel does not restrict consumers’ right to approach DIACO or competent authorities.
32. Amendments
ADIONC may update these Terms following legal, technical or operational changes. Material changes will not apply retroactively in a manner contrary to law and may require renewed acceptance.
33. Governing law
These Terms are governed by the laws of Guatemala. The Spanish version will serve as the reference for relationships subject to Guatemalan law, unless otherwise validly agreed.
34. DIACO registration
Where these Terms must be registered as a standard-form consumer contract, the definitive public version will include a reference to the resolution issued by DIACO. No resolution may be displayed before it exists.
